These Terms & Conditions ("Terms") form a binding legal agreement between you and PushBids, Inc. ("PushBids", "we", "us", or "our") governing your access to and use of the PushBids platform, websites, applications, and services (collectively, the "Platform"). By registering for an account, posting a project, submitting a bid, or otherwise accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not access or use the Platform.
1Platform Exclusivity & Anti-Circumvention
All projects posted on PushBids, and all introductions between Project Owners and Contractors made through PushBids, are the exclusive property of the platform relationship. For a period of twenty-four (24) months following any introduction, you agree not to solicit, negotiate, contract, hire, perform, subcontract, or accept, directly or indirectly, in whole or in part, any work arising from or related to a PushBids project outside of the Platform.
2Circumvention Is Breach and Fraud
Any attempt to circumvent the Platform, including off-platform payment, side agreements, or the use of alternate entities, family members, affiliates, or intermediaries, constitutes a material breach of this Agreement and an act of fraud against PushBids. Violators shall be liable for prosecution to the fullest extent permitted by law, and PushBids reserves the right to pursue all available civil and criminal remedies, including injunctive relief, recovery of all fees that would have been owed, liquidated damages equal to twenty percent (20%) of the total project value, plus attorneys’ fees, court costs, and interest.
3Enforcement
You consent to PushBids’ monitoring of platform communications for compliance. Accounts involved in circumvention will be permanently terminated, reported, and referred for legal action. These obligations survive account termination.
4Accounts & Accuracy
Registration is free. You represent that all information you provide is accurate, that you are authorized to act for the entity you register, and that you will maintain the confidentiality of your credentials. Phone numbers provided at registration are kept private and revealed to the counterparty only upon bid acceptance. Revealed contact information may be used solely to perform the awarded project, and using it to transact off-platform is circumvention under Sections 1 and 2.
5AI Estimates
PushBids’ AI-generated takeoffs and estimates are informational planning tools only. They are not a guarantee of cost, quantity, or scope, and do not replace professional plan review, site verification, or licensed estimating.
6Project Owner Obligations
You agree to conduct all bidding, award, and communication regarding posted projects through PushBids. You will not share contractor contact information obtained through the Platform with third parties or use it to transact off-platform. Awarding platform-sourced work outside PushBids is circumvention under Sections 1 and 2.
7Platform Pricing & Payment
All bid prices displayed to you are PushBids platform prices, inclusive of platform services, and constitute the full contract price payable by you. Upon accepting a bid you will be issued a secure payment link. Payment is made to PushBids and held until PushBids issues the work order releasing the contractor to begin. PushBids is responsible for disbursing contractor payment.
8Eligibility & Acceptable Use
You must be at least 18 years old and able to form a binding contract to use the Platform. You agree not to: (a) use the Platform for any unlawful, fraudulent, or unauthorized purpose; (b) post false, misleading, infringing, or unlicensed content; (c) circumvent, disable, or interfere with security or compliance features; (d) scrape, harvest, or reverse-engineer the Platform; (e) misrepresent your identity, licensure, or authority; or (f) use the Platform to harass, defame, or harm any person. We may investigate and take any action we deem appropriate, including removing content and suspending accounts.
9Intellectual Property
The Platform, including its software, design, text, graphics, logos, and the PushBids name and marks, is owned by PushBids and protected by intellectual-property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Platform for its intended purpose. You retain ownership of content you submit but grant PushBids a worldwide, royalty-free license to host, process, display, and use that content to operate, secure, and improve the Platform.
10Disclaimers
The Platform is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. PushBids does not warrant that the Platform will be uninterrupted, secure, or error-free, or that any estimate, contractor, project, or outcome will meet your expectations. PushBids is a neutral venue, is not a party to the construction contract between Owners and Contractors, and does not guarantee the quality, safety, legality, or completion of any work.
11Limitation of Liability
To the fullest extent permitted by law, PushBids and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, data, or goodwill, arising out of or relating to your use of the Platform. PushBids’ total aggregate liability for any claim will not exceed the greater of (a) the total platform fees you paid to PushBids in the six (6) months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars (US$100).
12Indemnification
You agree to defend, indemnify, and hold harmless PushBids and its affiliates from and against any claims, damages, liabilities, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Platform, your content, your projects or bids, your violation of these Terms, or your violation of any law or the rights of any third party.
13Dispute Resolution: Binding Arbitration & Class-Action Waiver
Please read this section carefully. You and PushBids agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Platform will be resolved by final and binding arbitration on an individual basis, administered under the rules of a recognized arbitration body. You and PushBids waive any right to a jury trial and to participate in a class, collective, or representative action. Nothing in this section prevents either party from seeking injunctive or equitable relief in court to protect intellectual property or to enforce the anti-circumvention provisions in Sections 1 through 3.
14Governing Law & Venue
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. Subject to Section 13, the exclusive venue for any permitted court proceeding will be the state and federal courts located in Delaware, and you consent to personal jurisdiction there.
15Suspension & Termination
We may suspend or terminate your access to the Platform at any time, with or without notice, for any conduct that we reasonably believe violates these Terms or is harmful to other users, PushBids, or third parties. Upon termination, your right to use the Platform ceases immediately. Provisions that by their nature should survive, including Sections 1 through 3, 9 through 14, and 16, survive termination.
16Changes to These Terms
We may modify these Terms from time to time. Material changes will be posted on this page with an updated effective date. Your continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.
17General
These Terms are the entire agreement between you and PushBids regarding the Platform and supersede any prior agreements. If any provision is held unenforceable, the remaining provisions remain in full force. Our failure to enforce any right is not a waiver. You may not assign these Terms without our consent; we may assign them freely. We are not liable for delays or failures caused by events beyond our reasonable control.
